These Terms and Conditions (“Terms”) govern your access to and use of the SparkLabs LLC website, dashboard, and Spark virtual assistant services, including voice calls and text messages sent from or received by any telephone number operated by SparkLabs LLC. Please read these Terms carefully before using our services.
Scope: These Terms apply to all telephone numbers and messaging programs operated by SparkLabs LLC in connection with Spark, including numbers used for SparkLabs LLC’s own business and numbers provisioned for our business customers. The same Terms apply regardless of which Spark assistant configuration is enabled on a given number (general FAQ, appointments, orders, or combined).
1. Agreement to these Terms
By accessing our website, creating an account, using the dashboard, calling or texting a SparkLabs LLC-operated number, receiving text messages from SparkLabs LLC, or otherwise using Spark, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use our services.
If you use Spark on behalf of a business customer, you represent that you have authority to bind that business to these Terms where applicable.
2. Who we are and what Spark does
SparkLabs LLC provides Spark, an AI-powered virtual receptionist for local businesses. Spark may be configured to provide one or more of the following capabilities on a phone number:
- General business information (FAQ): answering general questions about a business (hours, location, services, pricing, policies, availability, and similar inquiries).
- Appointment assistant: helping callers schedule, confirm, reschedule, or cancel appointments.
- Order assistant: helping callers place, modify, or inquire about orders.
- Combined assistant: providing both appointment and order capabilities on the same number.
Additional features or message types may be added over time. SparkLabs LLC may update Spark’s functionality; material changes will be reflected in these Terms or on our website.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to create a business account or enter into a paid service agreement with SparkLabs LLC. End users of any age may call or text a business’s Spark-operated number, but our services are not directed to children under 13, as described in our Privacy Policy.
4. Business customer accounts
If you are a SparkLabs LLC business customer or authorized dashboard user:
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must provide accurate business and contact information and keep it current.
- You are responsible for configuring Spark features (FAQ, appointments, orders, notifications, and related settings) appropriately for your business.
- You are responsible for ensuring that your use of Spark complies with applicable laws, industry rules, and any obligations you owe to your customers.
- You must designate only authorized personnel to receive operational notifications (text or email) containing end-user information.
SparkLabs LLC may suspend or terminate dashboard access for violation of these Terms, non-payment, abuse, or security concerns.
5. End users (callers and texters)
When you call or text a SparkLabs LLC-operated number on behalf of a business customer, you are interacting with Spark as that business’s virtual assistant. SparkLabs LLC operates the technology; the business customer remains responsible for fulfilling orders, appointments, and services offered to you.
You agree not to:
- Use Spark-operated numbers for unlawful, harassing, fraudulent, or abusive purposes.
- Attempt to interfere with, disrupt, or reverse engineer Spark or related systems.
- Provide false or misleading information when placing orders or booking appointments.
6. Phone calls and voice interactions
Calls to SparkLabs LLC-operated numbers may be answered by Spark using automated voice and AI technology. Calls may be recorded and transcribed to provide the configured service, generate summaries, route appointments or orders, and improve reliability, as described in our Privacy Policy.
Important limitations:
- Spark is not a human. Spark uses artificial intelligence and may misunderstand requests or provide incomplete information.
- Not for emergencies. Do not use Spark-operated numbers for emergency services. Call 911 (or your local emergency number) for emergencies.
- Business responsibility. Final confirmation of orders, appointments, pricing, availability, and fulfillment rests with the business customer unless SparkLabs LLC explicitly agrees otherwise in writing.
If Spark offers to send a text confirmation or follow-up during a call, you may accept or decline. Accepting may subject you to the SMS terms in Section 7.
7. SMS and text messaging terms
SparkLabs LLC sends SMS and MMS messages for transactional and operational purposes related to Spark and to requests made through Spark. We do not use SMS to send unrelated third-party marketing. Messages may be sent from any SparkLabs LLC-operated phone number associated with a business customer’s Spark configuration.
7.1 Messages to business owners, managers, and staff
Authorized business recipients may receive operational texts when end users interact with Spark. Examples include, but are not limited to:
- New appointment notifications: customer name, customer phone number, appointment date, appointment time, service type, and related notes.
- Appointment changes: rescheduling, cancellation, or confirmation updates.
- New order notifications: for example, “{customer} has placed an order for {menu_item} at a cost of {cost}.”
- Order status or operational alerts needed to prepare or fulfill an order.
- Call summaries or missed-call alerts where enabled.
- Other business-operational messages reasonably necessary for the enabled Spark features.
7.2 Messages to end customers
End customers may receive texts related to requests they initiated. Examples include, but are not limited to:
- Appointment confirmations and reminders (business name, date, time, service, and instructions).
- Order placed: for example, “Your order of {menu_item} has been placed from {restaurant_name}.”
- Order ready for pickup: for example, “Your {restaurant_name} order of {order_items} is now ready for pickup.”
- Order out for delivery: for example, “Your order has been picked up from {restaurant_name} and the driver is on the way.”
- Order delivered or completed: for example, “Your {restaurant_name} order of {order_items} has been delivered.”
- Responses to inquiries and other transactional updates about an active appointment, order, or service request.
Message templates vary by business and configuration. Placeholders such as {customer}, {menu_item}, {order_items}, {cost}, and {restaurant_name} represent dynamic fields. Additional templates may be used for new industries or workflows.
7.3 Consent
By providing a mobile number and opting in, you authorize SparkLabs LLC to send the message types described above. Opt-in may occur by:
- Submitting your phone number on our website where messaging is disclosed.
- Agreeing during a call with Spark or by text when a confirmation or follow-up is offered.
- Placing an order or booking an appointment through Spark when transactional texts are disclosed.
- Being designated as an authorized notification recipient by a business customer.
- Texting a designated keyword where that method is offered.
Consent to receive texts is not a condition of purchase unless clearly disclosed for a specific optional program. Message frequency varies; you may receive multiple messages per appointment, order, or active request.
7.4 Opt-out, help, and carrier disclosures
- Opt out: Reply STOP to unsubscribe from further SMS from that program or sending number.
- Help: Reply HELP or email llc.sparklabs@gmail.com.
- Frequency: Message frequency varies based on your interactions and the Spark features in use.
- Charges: Message and data rates may apply.
- Carriers: Wireless carriers are not liable for delayed or undelivered messages.
7.5 Mobile information — no sharing for marketing
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on how we handle phone numbers, SMS consent, and service providers.
8. Business customer responsibilities for messaging compliance
If you are a business customer using Spark, you agree that:
- You will obtain any consent required from your end users before SparkLabs LLC sends texts on your behalf, and you will honor opt-out requests promptly.
- You will not use Spark or SparkLabs LLC messaging to send unlawful, deceptive, or unsolicited promotional content.
- You will provide accurate menu, pricing, hours, appointment, and policy information so Spark can respond correctly on your behalf.
- You remain responsible for fulfilling orders and appointments and for communications with your customers beyond what Spark automates.
9. Acceptable use
You may not use our website, dashboard, or Spark-operated numbers to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit spam, malware, or harmful content.
- Impersonate any person or entity or misrepresent your affiliation.
- Scrape, probe, or overload our systems without authorization.
- Use Spark for high-risk activities where AI error could cause serious harm (including medical, legal, or emergency advice).
SparkLabs LLC may investigate violations and cooperate with law enforcement where required.
10. Intellectual property
Spark, the SparkLabs LLC name, logos, website content, software, and related materials are owned by SparkLabs LLC or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use Spark and the dashboard according to these Terms and any separate service agreement with SparkLabs LLC. You may not copy, modify, distribute, or create derivative works except as permitted by law.
11. Third-party services
Spark relies on third-party providers (such as telecommunications, cloud hosting, authentication, AI voice, and scheduling services). Your use of those services may be subject to their terms. SparkLabs LLC is not responsible for third-party sites or tools linked from our website.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using Spark, you acknowledge that we will process information as described there, including call recordings, transcripts, order and appointment details, and messaging metadata.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARK AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SparkLabs LLC does not warrant that Spark will be uninterrupted, error-free, or always accurate; that calls or messages will always be delivered; or that Spark will meet your specific business requirements. You use Spark at your own risk.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKLABS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF SPARK, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARKLABS LLC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR SPARK WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID SPARKLABS LLC FOR SPARK IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless SparkLabs LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of Spark, your violation of these Terms, your violation of applicable law, or—if you are a business customer—content, configuration, or instructions you provide to Spark or messages sent to your end users.
16. Suspension and termination
SparkLabs LLC may suspend or terminate access to Spark, the dashboard, or messaging programs at any time for violation of these Terms, legal requirements, non-payment, or operational necessity. You may stop using our services at any time. Provisions that by their nature should survive termination (including Sections 7, 13–15, and 17–19) will survive.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top indicates the latest revision. Material changes will be posted on this page. Continued use of Spark after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
18. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which SparkLabs LLC is organized, without regard to conflict-of-law principles. Except where prohibited by law, you agree that disputes arising from these Terms or Spark will be resolved in the state or federal courts located in that state, and you consent to personal jurisdiction there.
